Reporting violations and malfeasance


The following communication channels have been established for reporting internal violations and offenses such as conflicts of interest, non-compliance with the law, violations of the Code of Ethics and the Organizational Model to the Management Body:

Reports can be made by any person, including employees, members of corporate bodies and Audit Firm, customers, suppliers, consultants, collaborators, shareholders, partners of – ITA SPA and other third parties.

When the Internal Reporting Management Body receives reports, it activates an investigation consisting of the stages of registration, preliminary assessment and evaluation, verification and possible action. In all cases, the Internal Reporting Management Body guarantees the anonymity of the reporter.

What can be reported
Reporting may concern conduct, acts or omissions that harm the public interest or the integrity of the public administration or private entity and that consist of:

– administrative, accounting, civil or criminal offenses;
– unlawful conduct relevant under Legislative Decree 231/2001, or violations of organizational and management models;
– offenses falling within the scope of European Union or national acts relating to, for
example, the following areas: public procurement; financial services, products and markets; prevention of money laundering and financing of terrorism; product safety and compliance; transportation safety; environmental protection; public health; consumer protection; privacy and personal data protection; and network and information system security;
– acts or omissions concerning the internal market or affecting the financial interests or provisions of the Union.

The harm or potential harm must be of a public nature; reports must not be about personal grievances or claims.


What the report must contain
It is important that the report contain useful elements to allow for the verifications, investigations and assessment of the validity of the reported facts. Reporting through the portal managed by ITA spa involves filling out a form guided by drop-down menus. It is up to the reporter to decide whether to make the report anonymously or to declare his or her identity.

How reporting works and timelines
Upon submission of the report, the portal will return a reference number that must be kept to track the update and status of the report. The company has 3 months to respond, in any case within 7 days the company must transmit receipt.


Protection of Confidentiality and Prohibition of Discrimination
As required by law, the identity of the whistleblower may not be disclosed without the whistleblower’s express consent, and all those who receive or are involved in the handling of the report are obliged to protect the confidentiality of such information. In addition, the whistleblower may not be subject to direct or indirect pressure or discrimination affecting working conditions for reasons related to the report.

This protection is waived if the whistleblower is found liable for libel or slander. In such a case, the whistleblower becomes sanctionable.
